Upon CableLabs approval, Applicant accepts the terms and conditions of the
Tru2way™ Trademark License Agreement below.
Trademark License. CableLabs hereby grants to Licensee a non-exclusive license to use the "<tru2way>" trademark (the "Mark") for the Intended Use (as described above). Licensee shall use the Mark only for the Intended Use in accordance with the provisions of this Agreement and the tru2way Trademark Use Guidelines (see www.tru2way.com). Licensee shall not use the Mark on materials that disparage CableLabs, its affiliated companies and members, or their products or services; or that violates any state, federal, or foreign law or regulation. Licensee shall include the following notice on all marketing materials that refer to CableLabs or display products or services bearing the Mark: "<tru2way> is a trademark of Cable Television Laboratories, Inc. and may not be used without authorization".

Injunctive Relief. Licensee acknowledges that material breach of this Agreement will cause CableLabs to suffer immediate and irreparable harm, damage for which money alone cannot fully compensate. Licensee therefore agrees that upon such material breach, CableLabs shall be entitled to entry of a temporary restraining order, preliminary injunction, permanent injunction or other injunctive relief, without posting any bond or other security, compelling Licensee to comply with such obligations. This paragraph shall not be construed as an election of any remedy, or as a waiver of any right available to either party under this agreement or the law, including the right to seek damages.

Law and Jurisdiction. This Agreement shall be construed in accordance with the law of the State of Colorado without regards to its conflict of law rules. Licensee agrees that exclusive jurisdiction and venue shall be in the courts located in the city and county of Denver, Colorado.

No Assignment. Licensee shall not assign any of its rights or privileges under this Agreement without the prior written consent of CableLabs, such consent not to be unreasonably withheld or delayed. Any attempted assignment or grant in derogation of the foregoing shall be void.
